By registering for, accessing, or using Woys in any manner, You agree to these Terms and any supplementary terms, addendums, or annexures. If You do not agree, do not use Woys.

We may update these Terms periodically. The latest version will always be available at www.woys.io/terms. Continued use of Woys after updates means You accept the revised Terms.

Applicable Law: All applicable laws, rules, and regulations in India.

Applicable Data Protection Law: Privacy and data protection laws in India, including the Information Technology Act, 2000, and once enforced, the Digital Personal Data Protection Act (DPDPA), 2023.

Solution: The SaaS product branded as Woys, offered by Brew Bionics LLP.

Personal Data: Information relating to an identified or identifiable individual.

Subscription Commencement Date: The date on which the Client accepts and acknowledges these Terms.

Fees: Subscription fees, usage fees, and any other applicable charges.

These Terms remain effective until terminated. Subscriptions renew automatically unless cancelled in writing before renewal.

Brew Bionics LLP grants You a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use Woys on a subscription basis.

This license does not transfer ownership or intellectual property rights. All rights not expressly granted remain with Brew Bionics LLP.

You agree to:

• Provide accurate and updated registration and business information.
• Use Woys only for lawful business purposes.
• Keep account credentials secure and prevent unauthorized use.
• Comply with WhatsApp Business Messaging Policy and Guidelines.
• Obtain proper opt-in consent before sending WhatsApp messages.
• Respect all opt-out requests from WhatsApp users.

You may not:

• Sell, resell, sublicense, or transfer Woys.
• Circumvent or disable security measures.
• Reverse engineer, replicate, or build competing products.
• Use Woys in violation of laws or for unlawful activities.
• Send unsolicited WhatsApp messages without proper consent.
• Use Woys for prohibited content as defined by WhatsApp policies.

Breach of this clause may result in suspension or termination of services.

Subscription Fee: Payable in advance at the beginning of the subscription.

Usage Fee: Payable monthly, e.g., WhatsApp conversation charges.

Wallet Recharge: Prepaid credits are required for certain features like WhatsApp messaging.

Taxes: Fees are exclusive of applicable taxes (including GST), which must be borne by You.

Failure to pay Fees may result in suspension of access, late payment penalties, and interest charges as per law.

We strive to maintain 95% annual uptime. However, downtime due to maintenance, force majeure, internet failures, or third-party services may occur and are excluded from this commitment.

You agree to:

• Maintain security of login credentials.
• Obtain necessary approvals or licenses required for Your business operations.
• Ensure data shared with us complies with data protection laws.
• Cooperate with Brew Bionics LLP for integrations and support.

Both parties agree to maintain confidentiality of all non-public, proprietary, and sensitive business information exchanged. Exceptions apply for:

• Information already public.
• Information lawfully obtained from third parties.
• Information required to be disclosed by law.

As a WhatsApp Business Platform solution, Woys must comply with WhatsApp Business Messaging Policy and Meta’s terms:

• Message Templates must be used for initiating conversations
• 24-hour customer service window applies for responses
• Clear escalation paths must be provided for human support
• Automation must include proper human handoff options
• Standard pricing applies for all conversation categories
• Prohibited content and activities are strictly forbidden

You must maintain a WhatsApp Business profile with accurate customer support contact information and comply with all WhatsApp Business Messaging Policy requirements.

You are responsible for obtaining consent from Your customers and users where required.

Brew Bionics LLP will process Personal Data only as necessary to provide Woys.

Data may be stored and processed on third-party platforms (e.g., Meta’s WhatsApp Cloud API).

Both parties agree to comply with applicable privacy and data protection laws.

Woys may integrate with third-party services like WhatsApp, Google, or Meta. Brew Bionics LLP is not responsible for the reliability, content, or policies of third-party services. Use of such services is subject to their own terms and conditions.

Either party may terminate:

• At the end of a trial period without charges.
• After subscription, by providing written notice before renewal.

Brew Bionics LLP may terminate or suspend Your account immediately if:

• You breach these Terms or fail to pay Fees.
• You misuse Woys or engage in unlawful activity.
• You become insolvent, bankrupt, or cease business operations.

Upon termination, Your access will end and You must delete all confidential materials.

Woys is provided on an “as is” and “as available” basis. Brew Bionics LLP does not guarantee uninterrupted or error-free services. We disclaim all warranties to the maximum extent permitted by law.

Brew Bionics LLP is not liable for indirect, incidental, or consequential damages. Our total liability for any claim will not exceed the amount You paid in Fees during the three months prior to the claim.

These Terms are governed by the laws of India. Disputes shall fall under the exclusive jurisdiction of the courts in Kerala, India.
